1. Agreement to These Terms

These Terms of Service form the agreement between you and Savino Del Bene Fds Canada Corp. for the use of this website and for the freight forwarding services described on it. By browsing the site, submitting a booking note or asking the office to arrange a movement, you accept these terms.

If you accept these terms on behalf of a company, you confirm that you are authorised to bind that company. If you are not authorised, please do not submit a booking note or any instruction to the office.

If any part of these terms is not acceptable to you, please do not use the services. You may contact the office to discuss a separate written agreement, and a variation will be valid only if it is recorded in writing and signed by an authorised representative of the company.

2. About the Company

The services are provided by Savino Del Bene Fds Canada Corp., a freight forwarding and integrated systems support business operating from a quay office in Woodbridge, Ontario.

Address: 100 Conair Pky, Woodbridge - L4H 0L2, Canada (CA). Email: memo@savinodelbene.buzz. Phone: +19063666989. Website: https://www.savinodelbene.buzz.

The office works six desks: booking note bays, consolidation runs, customs memo desks, demurrage watch windows, docs attest review rounds and warehouse cut-off sittings. Each desk has a defined role in the movement of a container, and these terms should be read with that structure in mind.

3. Definitions

In these terms, the following words carry the meanings set out below.

  • Company means Savino Del Bene Fds Canada Corp.
  • Client means the party that asks the company to arrange a movement or that uses the website.
  • Booking note means the written instruction that opens a file and confirms cargo, lane and sailing intent.
  • Consolidation run means a container loaded with cargo from more than one shipper under a single master movement.
  • Customs memo means the instruction set drafted by the memo desk and passed to a broker for filing and release.
  • Watch window means the period during which free days and gate-in dates are tracked for a container on hire.
  • Review round means the two-reader check applied to a document pack before attestation.
  • Cut-off sitting means the fixed warehouse session at which late cargo is counted in and the container is sealed.

4. Services Provided

The company arranges freight forwarding services for cargo moving by sea, road and rail, together with the documentation, planning and warehouse support required to move that cargo through the gate. The service is a forwarding and coordination service. The company is not the carrier, the terminal operator or the customs authority.

The company selects carriers and partners with reasonable care and passes instructions to them on behalf of the client. The actual carriage is performed by those parties under their own conditions of carriage, which may limit their liability.

Service availability depends on space, sailing schedules, terminal capacity and the readiness of the cargo. The office will tell the client promptly if a requested movement cannot be accommodated.

5. Booking Notes and Confirmation

A booking note must state the shipper, the consignee, the port pair, the commodity, the declared weight and volume and the preferred sailing. The note must also provide a reachable contact for each party who will be asked to act on the file.

The bay desk reviews each note against the space held with the carrier and releases a reference number when the note is accepted. The reference number identifies the file for all later correspondence and must be quoted in any message about the shipment.

Where a detail in the note is incomplete, the desk may accept the note provisionally and mark the missing item. A provisional note does not reservation of space and does not guarantee a sailing. If the missing detail is not supplied before the plan locks, the note may be moved to a later run.

The client is responsible for the accuracy of the note. A correction requested after the stow is planned may attract a re-planning charge and may change the sailing.

6. Consolidation Runs

The company may combine cargo from more than one shipper into a consolidation run. The plan is drawn after bookings close and lists each shipment in loading sequence. A house bill is issued for each shipper on the run.

By accepting a place on a run, the client accepts that the container is shared and that the sailing depends on the readiness of the whole group. Cargo that is not ready at the cut-off sitting may be held for the following run, and the client will be told the same day.

The company may separate cargo that cannot share a container for regulatory, safety or practical reasons. A separation may require an additional container and an additional charge, which will be explained before the plan is finalised.

Where a group run is cancelled because too few shipments are ready, the company will offer a place on the next run or a refund of the planning charge for that run, at the choice of the client.

7. Customs Memo Desks

The memo desk drafts the customs instruction that travels with the file. The memo names the classification, the origin evidence, any licensing condition and the release route. It is written so that a broker can act on it without a further call.

The company is not the importer of record and does not provide legal advice on customs law. The classification recorded in the memo is based on the information supplied by the client, and the client remains responsible for the accuracy of that information.

The client should tell the memo desk at once if a classification, origin claim or licence condition changes after the memo is released. A late change may require a revised entry and may attract a charge from the broker or the authority.

8. Demurrage Watch Windows

The watch desk tracks free days, gate-in dates and the last free day for each container on hire. The desk checks the watch ledger twice each working day and contacts the consignee when a window narrows.

The watch service is a diligence service, not a guarantee that no charge will arise. Demurrage and detention are set by the carrier and the terminal, and the company cannot waive a charge that those parties have validly raised.

The client must supply the container number and gate-in date promptly so that a window can be opened. A delay in supplying those details may shorten the useful part of the window, and the company is not liable for a charge caused by that delay.

9. Document Review and Attestation

Each document pack is read twice by two different reviewers before it is attested. The first reader compares the pack against the booking note and the second compares it against the customs memo. Discrepancies are marked and resolved with the party who can explain them.

A review round ends when the carrier copy, the consignee copy and the bank copy agree. The company records what changed and why, and may provide that record to a party who has a legitimate interest in the file.

Attestation confirms that the pack has been reviewed against the documents available at the time. It does not certify the truth of information supplied by the client or by a third party, and it does not replace any confirmation required by a bank, an insurer or an authority.

10. Warehouse Cut-off Sittings

The warehouse holds a cut-off sitting at a fixed hour. Cargo counted in at the sitting is loaded against the run plan, and the container is sealed with a lead seal. The tally sheet is signed at the door by the clerk who counted the cargo and by the supervisor who checked the run.

Cargo that arrives after the sitting is logged and held for the following run. The company will tell the client the same day and will reserve space on the next run where capacity allows.

The client must ensure that cargo presented at the sitting matches the booking note in description, weight and packaging. A mismatch may require the container to be reopened, and the cost of that reopening falls to the client.

11. Client Responsibilities

The client is responsible for the accuracy of every instruction, for the lawful nature of the cargo and for compliance with the rules of the origin and destination countries. The client must not present cargo that is dangerous, prohibited or misdescribed.

The client must provide documents in time for the review round and must answer questions from the review desk promptly. Late documents are the most common cause of a missed sailing.

The client must ensure that packaging is suitable for the journey and that marks are legible. The company may refuse cargo that appears unsafe to handle or that cannot be stowed without risk to other cargo in a consolidation run.

The client must nominate a contact who can be reached during the business hours of the office and who has authority to make a decision about pickup, redelivery or a document change.

12. Charges and Payment

Charges are quoted in writing before a booking is confirmed. A quotation states the services included and the assumptions on which the figure rests, such as weight, volume and the sailing requested.

Charges may change if the assumptions change, if a carrier raises a surcharge, if the cargo requires a re-plan, or if a party incurs a demurrage or detention charge through the act or omission of the client. The company will explain a change before it is applied where there is time to do so.

Invoices are payable within the period stated on the invoice. The company may suspend work on an account with an overdue balance and may retain documents until the account is settled, where the law permits.

All amounts are stated in the currency shown on the invoice. Bank charges and currency conversion costs are for the account of the client unless the invoice says otherwise.

13. Cancellation and Postponement

A booking may be cancelled before the plan locks without a cancellation charge, apart from any cost already committed to a carrier. A cancellation after the plan locks may attract a re-planning charge and any carrier fee that cannot be recovered.

A postponement to a later sailing is treated as a new booking for the later sailing. The company will carry forward any amount already paid where the carrier permits, and will explain any difference in rate.

The company may cancel a movement if the cargo is not presented at the sitting, if a document cannot be attested, or if the carrier withdraws space. In that case the company will offer the next available option and will refund a charge that relates solely to the cancelled movement.

14. Liability

The company is liable for loss or damage caused by its own negligence in performing the forwarding service, to the extent permitted by applicable law. The company is not liable for loss caused by a carrier, a terminal operator, a broker, an authority or any other party beyond its control.

Where liability is established, it is limited to the value of the service charge for the movement concerned, or to a higher amount where a mandatory rule of law requires it. The company is not liable for loss of profit, loss of market or indirect loss of any kind.

The company is not liable for a delay caused by weather, port congestion, industrial action, a customs inspection or a change of sailing announced by the carrier.

Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded.

15. Claims and Time Limits

A claim for loss or damage must be notified to the office in writing as soon as the loss is discovered and in any event within the period set by the applicable carriage convention or by the conditions of the carrier.

The notice should include the reference number, a description of the loss and any supporting document such as a photograph, an inspection record or a delivery receipt. The company will acknowledge the notice and open a claim file.

A claim that is notified outside the applicable period may be refused by the carrier or the insurer, and the company cannot recover an amount that has been lost through late notice.

16. Force Majeure

The company is not liable for a failure to perform caused by an event beyond reasonable control. Such events include severe weather, earthquake, flood, fire, epidemic, war, civil disturbance, strike, lockout, failure of a public utility, a cyber attack on a shared system or a closure of a port or a border.

Where a force majeure event occurs, the company will tell the client as soon as it can and will take reasonable steps to reduce the effect. The affected obligation is suspended for the duration of the event.

If the event continues for an extended period and the movement cannot be completed, either party may end the affected booking. Amounts already paid for services not performed will be refunded, less any cost already committed to a carrier.

17. Insurance

Cargo insurance is not included in the service charge unless the quotation states that it is. The client should arrange cover for the full value of the cargo where that cover is important.

The company can introduce an insurer on request, but the contract of insurance is between the client and the insurer. The company does not act as an insurance broker and does not guarantee the terms of any policy.

Where the client holds cover, the client should tell the insurer about the movement and keep the documents that the insurer requires for a claim.

18. Confidentiality

The company treats client information as confidential and uses it only for the purpose of the service. Staff are trained to discuss a file only with the parties who are entitled to know about it.

The company may share information with carriers, brokers and warehouse partners where that is necessary to move the cargo. Those parties are bound to use the information only for the movement concerned.

The obligation of confidentiality continues after a booking ends and after the business relationship ends, except where disclosure is required by law or by a competent authority.

More detail about the handling of personal information is set out in the Privacy Policy, which should be read together with these terms.

19. Intellectual Property

The text, layout, drawings and code on this website belong to the company or are used with permission. You may read the site and print a copy for your own reference, but you may not copy the material for commercial use without written permission.

The name Savino Del Bene Fds Canada Corp. and the visual devices on the site are protected marks. They may not be used in a way that suggests an endorsement or a partnership that does not exist.

Feedback that you send to the office about the site may be used to improve the service without payment or attribution, unless you ask us in writing to keep the feedback confidential.

20. Website Use

You may use the website for lawful purposes connected with the services. You must not attempt to interfere with the site, to gain unauthorised access to a system, or to submit a message that is abusive, misleading or unlawful.

The contact form is provided for genuine enquiries. Messages that are automated, promotional or unrelated to the services may be filtered and discarded.

The site is provided as it stands. The company works to keep it accurate and available, but does not promise that every page will be free of error or that the site will never be interrupted. Information on the site is general and does not replace a written quotation for a specific movement.

21. Termination

Either party may end the business relationship by giving written notice. Termination does not affect a movement already in progress, which will be completed under these terms unless the parties agree otherwise in writing.

The company may suspend or end the service at once if the client presents prohibited cargo, misdescribes a shipment, fails to pay an overdue invoice after a reminder, or behaves in a way that puts staff or other cargo at risk.

On termination, the company will return documents that belong to the client once any outstanding charge for the affected movement has been settled. Records that must be retained by law will be kept for the required period.

22. Governing Law and Disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in that province. The parties submit to the jurisdiction of the courts of Ontario.

Before starting a formal proceeding, the parties will try in good faith to resolve a dispute by discussion between a representative of the client and a supervisor of the office. A written notice of dispute should set out the facts and the outcome sought.

If discussion does not resolve the matter within a reasonable period, either party may refer the dispute to mediation or to the courts. Nothing in this section prevents a party from seeking urgent relief where that is necessary to protect cargo or documents.

23. Changes to These Terms

The company may update these terms to reflect a change in the service, in the law or in the way the office works. The effective date at the top of the page shows when the current version took effect.

A material change will be announced on the website for a reasonable period. A booking note accepted after the change takes effect is governed by the updated terms.

If you do not agree with a change, you may ask the office to apply the previous version to a movement already in progress, where that is practical and lawful. Otherwise you may stop using the service.
